The United States Department of Justice and the Securities and Exchange Commission released last Wednesday long awaited guidance on the Foreign Corrupt Practices Act. The 120-page document titled “A Resource Guide to the U.S. Foreign Corrupt Practices Act” provides useful case studies and insight into what constitutes a violation or what might be a mitigating defense. The guide also discusses how often and why the authorities have declined to prosecute public and private companies in the past. This document is required reading for American companies of any size doing business in Greater China.
